Terms and Conditions

If you are representing a company or other legal entity, when accepting or agreeing to these Terms and Conditions, you are stating that you have the authority to legally bind the company or other legal

entity that you represent to these Terms and Conditions, and as such, any use of “you”, “your”, “yours”, “client” and “clients” will refer and apply to both you and the company or other legal entity.

1. Definitions

In these Terms and Conditions, “BoostHQ.com”, “BoostHQ”, “BoostHQ platform”, “Boost”, “us”, “we”, “website”, “service” refer to the BoostHQ service owned and operated by SkyPrep Inc.

“SkyPrep” refers to SkyPrep Inc. and its officers, directors, executives, agents, and employees.

“customer”, “users”, “user”, “you”, “your”, “they”, “their”, “client”, “clients” refer to you and the company or other legal entity that you represent.

2. General

This website (boosthq.com), the website’s content, and the service are owned and operated by SkyPrep.

This Terms and Conditions document is a legally binding agreement between the customer and SkyPrep. SkyPrep does not take any responsibility for any of the content created, uploaded and/or hosted by its customers and users.

The information in this document can change at any time and it is the responsibility of the customer to review the website for periodic updates.

The client agrees to indemnify and hold SkyPrep, its officers, directors, executives, affiliates, agents, and employees harmless from any liability, loss, costs, expenses, or damages they may suffer as a result of claims, demands, costs, or judgments against them or through the use of the BoostHQ website, platform, and/or service, including, but not limited to, (1) breach of the Terms and Conditions by the client or anyone assuming the identity of the client through the use of the client’s computer or login credentials, (2) claims that the client’s use and/or content infringes on intellectual property and/or copyrighted material of a third party, (3) claims that the client’s use and/or content has harmed and/or damaged a third party, (4) claims arising from or due to content that the client posts, creates, or otherwise makes visible and/or accessible. The client will pay any and all costs and expenses, including, but not limited to, lawyers’ fees and costs awarded against, or incurred by, or

in connection, or arising from, any claim, suit, action, or proceeding.

7. Up-time and Back-up

SkyPrep will take industry ­standard precautions

to maintain and back­ up your data on a periodic

basis. However, SkyPrep does not guarantee

this process and it is recommended that users

independently take periodic back­ups of data that is on their BoostHQ platform.

Clients understand that BoostHQ uses third party vendors to provide its services. In the case where a service outage occurs, SkyPrep will not be held responsible or liable for data loss.

8.Content and Information

All data and content on the BoostHQ platform will remain in a client’s account until the account is closed. Any content uploaded by the client will remain the intellectual property of the client. None of the data will be shared with a third-­party unless otherwise allowed by the client or required by law or court order. SkyPrep can remove or limit the amount of content on a client’s account at any time. Content regarded as inappropriate will be removed immediately.

9. Support

Technical support is provided for BoostHQ clients if the support request is explicitly regarding the BoostHQ platform so long as the requests are made on a weekday (Monday through Friday) between

10:00 and 18:00 Eastern Standard Time (excluding Canadian Holidays). SkyPrep will answer all support requests in the order that they are received as long as they are pursuant to the guidelines specified in this section. If a request is made outside of these times, SkyPrep will respond at the earliest possible time that falls within our business hours as outlined above, following the order in which requests are received. SkyPrep can be contacted with issues

regarding specific technical questions and/or general knowledge, so long as all enquiries made are regarding the BoostHQ platform. Before contacting BoostHQ’s support services, the client must have

shown due diligence in exhausting all attempts to investigate and solve their problem on their own, including, but not limited to, the use of the BoostHQ Help Center. The client agrees to contact Boost HQ’s

support services only at a reasonable frequency. SkyPrep reserves the sole and absolute right to terminate support services for clients who have shown they are misusing the support services in

accordance to the terms stated above.

10. Billing and Refunds.

All pricing is shown in USD.

SkyPrep may, at any time, change the prices and packages it offers. It is the responsibility of the client to watch for these updates.

Refunds may be given at the discretion of the company and is subject to our refund policy.

Any charge­backs made by clients against the BoostHQ service will incur a $50 service fee per charge­back, on ­top of the existing amount charged back and owed to SkyPrep.

No pro­rated refunds will be given for clients who cancel their service during the middle of their billing cycle and they will be billed the full amount at the

end of their current billing cycle.

If a client’s payment is not made on time, SkyPrep reserves the right to remove or revoke any discounts associated with the client’s account, or suspend the client’s account until payment is made.

Clients who cancel accounts will lose all previous discounts and pricing if they want to return to BoostHQ in the future.

They will also lose all of their data within 30 days of cancellation.

11. Limited Liability

The client acknowledges that SkyPrep’s aggregate liability to you related to, and in connection with, this agreement shall be limited to $500 for use of the BoostHQ service.

Privacy Policy

Your Privacy

BoostHQ is committed to maintaining the trust and confidence of our customers and visitors to our website. We want you to know that we are not in the business of selling or renting individuals’ personal data to other companies for marketing purposes.

In this Privacy Policy, we provide detailed information on when and why we collect personal information, how we use it, the limited conditions under which we may disclose it to others, and how we keep it secure.

Collection and Use of Personal Information

Personal information means any information that may be used to identify you, such as your name, title, phone number, email address, or mailing address.

We will require personal information from you when you register for a BoostHQ account. Those details will only be used to fulfill your specific request and will not be used by BoostHQ for any other purpose.

Additional activities on our site require you to be registered. For example, to try a Boost trial or register for an event.

We may use that information for several general purposes: to tell you

about products, seminars and services if you so request, to fulfill your request, to contact you if we need to obtain or provide additional information, to verify the accuracy of our records, or to contact you regarding customer satisfaction surveys.

If you want to subscribe to the Boost newsletter, we ask you to simply provide your personal email address. In this case, we use your email address only in connection with providing you the newsletter and for no other purpose.

Disclosure of Personal Information

In some instances, we rely on our channel partners to fulfill product trials and information requests, and to provide customers and prospective customers with information about Boost and its solutions. To do this, we may pass your information to them for that purpose only, and they are prohibited from using that information for any other purpose.

We sometimes hire vendor companies to provide limited services on our behalf, including packaging, mailing and delivering items, sending postal mail, providing technical support, and processing event registrations.

Boost is governed by the Privacy Policy outlined in PIPEDA and will use your personal information only as set forth in this policy. At your request, we can provide you with data protection details of the countries relevant to you. By using BoostHQ and providing us with your personal data, you consent to this transfer of your personal data.

We may also disclose your personal information if required to do so by law, or in the good faith belief that such action is necessary in connection with a sale, merger, transfer, exchange, or other disposition (whether of assets, stock, or otherwise) of all, or a portion of, our business and/or the business of our subsidiaries, or to (1) conform to legal requirements and/or comply

with legal process served on us or this web site, (2) protect and defend our rights, property and this web site, (3) enforce our agreements with you, or (4) act in urgent circumstances to protect personal safety or the public.

Children and Privacy

Our web site does not offer information intended to attract children. We do not knowingly solicit personal information from children under the age of 13.

Use of Cookies

A cookie is a small text file containing information that a web site transfers to your computer’s hard disk for record-keeping purposes. “Refer-a-Friend”

From time to time, we may encourage our customers and website visitors to tell a friend about BoostHQ products, services, or events. If a customer or visitor chooses to refer a friend to us, we will use that friend’s information only for the purposes of sending Boost-related information to that friend. We will use the information only once and it will not be stored in our systems.

Links to Other Web Sites

Our web site contains links to information on other web sites. We do not have any control over these other web sites, and therefore we cannot be responsible for the protection and privacy of any information that you provide while visiting those sites. Those sites are not governed by this

Privacy Policy, and if you have questions about how a site uses your information, consult that site’s privacy statement.

Accessing Your Personal Information

You are entitled to access your personal information that we hold. Email your request to our data privacy team at privacy@skyprep.com. An administrative fee may be payable.
